Phil Sudan loves tackling problems no one else has been able to solve. He is known for his perseverance and for thinking outside the box.

As a noted corporate attorney, he takes the time to thoroughly understand a client’s goals so he can assist with all aspects of their business’s life cycle – including start-up formation, governing agreements between multiple owners, financing, employment agreements to protect the business and its technology, incentive compensation plans, managing legal disputes, acquisitions, joint ventures, global expansion, succession planning, and selling all or part of the business.

Phil has years of experience in cross-border transactions and has made it possible for U.S.-based businesses to expand overseas and for foreign entities to acquire domestic assets.

When the EU passed a rule requiring companies of a certain size to release consolidated financial statements, one of Phil’s clients, a privately held EU-based company with global operations, was concerned about revealing too much information to its competitors. Phil devised several alternative solutions.

When his client, the Houston Oilers, wanted to relocate, he helped make it happen. Instead of putting the issue before a state court judge, he litigated it in federal court before a judge with a lifetime appointment, utilizing some novel legal arguments. The team is now the Tennessee Titans.

Phil also represents property owners and contractors in matters related to transactional and construction lien rights. He offers outsourced general counsel services — providing prompt, actionable advice to enable clients to make timely business decisions, getting in on the front end of deals to help mitigate potential risks, and protecting his clients’ legal and business interests.

In addition to his commercial clients, Phil has represented individuals, non-profit organizations, and private foundations. He has also served on several boards of directors and advisory boards.
